Definitions<\/h6>\n<p>AAIP: Access to Public Information Agency established by Law No. 27,275.<br \/>Access: one or more actions by the User required: in the case of the Site, for Site Access; or, in the case of a Third-Party Site, to open in accordance with the Internet protocol called Hypertext Transfer Protocol (HTTP) or the Internet protocol called Hypertext Transfer Protocol Secure (HTTPS) one or more HTTP or HTTPS connections, respectively, between the Internet address of such Third-Party Site and the Internet address of a device used by the User to open each such connection.<br \/>Site Access: the opening in accordance with the Internet protocol called Hypertext Transfer Protocol (HTTP) or the Internet protocol called Hypertext Transfer Protocol Secure (HTTPS) of one or more HTTP or HTTPS connections, respectively, between the Internet address of the Site and the Internet address of a device used by the User to open each such connection.<br \/>Activity on the Site: the User's use of one or more features included and enabled on the Site.<br \/>Administrator: the following legal entity: Dinexos SRL, with CUIT 33-71776866-9, registered in the Province of Buenos Aires by the Provincial Directorate of Legal Entities under No. 1976668 and with email administracion@dinexos.com.ar.<br \/>Public Authority: any legislative, executive, or judicial body of national, provincial, or municipal character.<br \/>Cookie: each digital file that meets the following requirements: (1) it is created by an Internet site accessed by the User for the first time; (2) it stores one or more data about the User (e.g., their access identification) and\/or the User\u2019s activity on that Internet site (e.g., selections made) with the purpose of facilitating the User\u2019s access to that Internet site and activity on it at least a second time; (3) it is stored by the web browser that the User used to access that Internet site for the first time; and (4) it can be read only or read and modified by that Internet site if the User accesses that Internet site again using the same web browser at least a second time.<br \/>Security Credential: one or more Personal Data and\/or other data or other information provided by a natural person, by themselves or through computer software not authorized in advance and expressly by the Administrator, to grant that natural person a unique and unequivocal identity as a User.<br \/>Personal Data: any data owned by the User (including, without limitation, any data about the device used by the User to Access the Site -model, operating system, connection, etc.- and the User\u2019s geographic location during their Stay on the Site) that meets the following requirements: (1) under Law 25326 it is not prohibited for the Administrator to collect it from the User pursuant to paragraph (b) of the Privacy and Personal Data Protection Clause; and (2) it is not public knowledge at the time the Administrator collects it from the User pursuant to paragraph (b) of the Privacy and Personal Data Protection Clause.<br \/>Instructor: a natural or legal person registered to offer courses.<br \/>Law 25326: Law No. 25,326 and Executive Decree No. 1558\/2001 of the national Executive Branch.<br \/>Regulatory Authority: the AAIP or any other Public Authority that is vested with the competence set forth in art. 29 of Law 25326 in replacement of the AAIP.<br \/>Remain on the Site: one or more actions by the User, on the Site and in accordance with the T&amp;Cs, necessary to prolong the Stay on the Site.<br \/>Stay on the Site: the time elapsing from, and including, Access to the Site until, and including, Exit from the Site.<br \/>Owner: the Administrator.<br \/>Exit from the Site: the closure in accordance with the Internet protocol named Hypertext Transfer Protocol (HTTP) or the Internet protocol named Hypertext Transfer Protocol Secure (HTTPS) of the single or the last, as the case may be, HTTP or HTTPS connection opened by Access to the Site.<br \/>Site: each empty digital file or containing one or more texts (originals or authorized reproductions), images, videos, sounds, graphics, icons, logos, isotopes, trademarks, drawings, emblems, color combinations, letter-and-number combinations, advertising phrases or other digital or digitized content (distinct from computer program instructions) and each computer program file (whether it uses one or more of the aforementioned digital files or not) directly or indirectly associated by the Administrator with each of the Internet addresses corresponding to the following domain names:<br \/>acafor.com<br \/>Third-Party Site: any Internet address other than the Site.<br \/>Unauthorized Software: one or more digital files, executable or not, or computer programs other than Prohibited Software and developed to modify, by themselves or linked with one or more other digital files or computer programs (whether or not these have prior and express authorization from the Administrator on the Site and\/or by email sent to the User), in an actual or potential, total or partial, temporary or permanent, immediate or deferred, continuous or intermittent manner, without the prior and express authorization of the Administrator on the Site and\/or by email sent to the User, the regular operation (including, without limitation, confidentiality, integrity or availability) of the Site stipulated by the Administrator.<br \/>Prohibited Software: one or more digital files, executable or not, or software programs developed to interfere, on their own or linked with one or more other digital files or software programs (whether malicious or not), currently or potentially, wholly or partially, temporarily or permanently, with immediate or deferred effect, continuously or intermittently, with the regular operation (including, without limitation, confidentiality, integrity or availability) of the Site as stipulated by the Administrator.<br \/>Courts: the local judicial bodies with subject-matter jurisdiction indicated in the Clause Courts with Competent Jurisdiction.<br \/>T&amp;C: these Terms and Conditions of the Site.<br \/>User: any natural person who Accesses the Site, Remains on the Site and performs Activity on the Site, on their own behalf or through a software program not authorized in advance and expressly by the Administrator, and each Necessary User; it being stipulated that Activity on the Site carried out with a Security Credential shall be considered carried out by the natural person who provided, on their own behalf or through a software program not authorized in advance and expressly by the Administrator, such Security Credential.<br \/>Student User: natural person who purchases a course offered on the Site.<br \/>Necessary User: any natural person who is the holder or delegate of parental responsibility or necessary representative, as the case may be, of another natural person who Accesses the Site, on their own behalf or through a software program not authorized in advance and expressly by the Administrator, and who has not reached 18 (eighteen) years of age and is not emancipated by marriage or for any other reason and therefore does not have legal capacity to Access the Site, Remain on the Site and perform Activity on the Site in compliance with the T&amp;C.<\/p>\n<h6>CLAUSE (2). Purpose of the T&amp;C<\/h6>\n<p>(a) The T&amp;C:<br \/>(I) apply and, therefore, detail the contractual relationship between the User and the Administrator regarding Site Access, Presence on the Site, Activity on the Site and Exit from the Site; and<br \/>(II) do not apply to any Third-Party Site either before Access to the Site, during Presence on the Site resulting from Access to the relevant Third-Party Site through the User\u2019s use of one or more links to such Third-Party Site included and enabled on the Site to Access such Third-Party Site or after Exit from the Site.<br \/>(b) The User\u2019s use of one or more links to a Third-Party Site included and enabled on the Site to Access such Third-Party Site is governed specifically by the provisions of the Third-Party Sites Clause.<\/p>\n<h6>CLAUSE (3). Consequences of Accessing the Site<\/h6>\n<p>(a) Each Site Access automatically constitutes:<br \/>(I) for the User:<br \/>(1) their unconditional and full acceptance of the T&amp;C; and<br \/>(2) their representations pursuant to the User Representations Clause; and<br \/>(II) for the Administrator: its authorization of Site Access, Presence on the Site, Activity on the Site and Exit from the Site exclusively on the basis set forth in subparagraph (I).<br \/>(b) For the purposes of this Clause, the T&amp;C are those published by the Administrator on the Site during Presence on the Site unless expressly indicated otherwise by the Administrator on the Site and\/or by email sent to the User.<\/p>\n<h6>CLAUSE (4). User Representations<\/h6>\n<p>The User represents:<br \/>(a) alternatively:<br \/>(I) to be 18 (eighteen) years of age or older or to be emancipated by marriage and, in any case, to have the legal capacity to Access the Site, Remain on the Site and perform the Activity on the Site in compliance with the T&amp;C; or<br \/>(II) to be under 18 (eighteen) years of age and not emancipated by marriage or for any other reason not to have legal capacity but, nevertheless, to have the authorization, assistance, advice and supervision of a Necessary User to Access the Site, Remain on the Site and perform the Activity on the Site in compliance with the T&amp;C; and<br \/>(b) to be a Necessary User of another User who is under 18 (eighteen) years of age and not emancipated by marriage or for any other reason lacks legal capacity but, nevertheless, has their authorization, assistance, advice and supervision to Access the Site, Remain on the Site and perform the Activity on the Site in compliance with the T&amp;C; and<br \/>(c) not to be compelled by the Administrator to Access the Site, Remain on the Site and perform the Activity on the Site; and<br \/>(d) not to need to obtain authorization or consent from a natural or legal person or a Public Authority to Access the Site, Remain on the Site and perform the Activity on the Site (except for the authorization of a Necessary User, if applicable, and the Administrator\u2019s authorization pursuant to paragraph (a) subparagraph (II) of the Clause Consequences of Accessing the Site) or, otherwise, to have such authorization or consent; and<br \/>(e) if Accessing the Site through software not previously and expressly authorized by the Administrator:<br \/>(I) to know that such software is not Prohibited Software; and<br \/>(II) acknowledge that said software program is not Unauthorized Software; and<br \/>(III) not need to obtain authorization or consent from a natural or legal person or a Public Authority to Access the Site, Remain on the Site and carry out the Activity on the Site through said software program (except for the authorization of a Necessary User, if applicable, and the prior and express authorization of the Administrator on the Site and\/or by email sent to the User) or, otherwise, have such authorization or consent.<\/p>\n<h6>CLAUSE (5). User Rights<\/h6>\n<p>In addition to their other rights established by the T&amp;Cs and applicable law, the User also has the right to:<br \/>(a) be able to consult on the Site, at any time during their Stay on the Site, the version of the T&amp;Cs in force at the time of such consultation; and<br \/>(b) obtain from the technical support available on the Site advice on resolving any technical problem the User encountered when performing the Activity on the Site; and<br \/>(c) decide on the advisability and timing of Leaving the Site at their sole discretion except that Leaving the Site may be advanced due to:<br \/>(I) the occurrence of a force majeure event; or<br \/>(II) the operation of Prohibited Software; or<br \/>(III) the Administrator's decision due to:<br \/>(1) for the User's breach of the T&amp;C; or<br \/>(2) for an act of the Administrator in accordance with the Modifications and Other Situations Clause; or<br \/>(3) for the Administrator's compliance with an order received from a Public Authority; and<br \/>(d) not to be considered connected to the Site from the time of Exit from the Site; it being stipulated, however, that the provisions of this paragraph shall not prevent the imposition on the User of the corresponding liability for the Activity on the Site that the User had scheduled to execute during the Stay on the Site and that should finish or should start and finish after Exit from the Site; and<br \/>(e) to be informed in a timely and clear manner by the Administrator, on the Site and\/or by email sent to the User, of any breach of the T&amp;C by the User that has been verified by the Administrator; it being stipulated that the User may remedy such breach only if the Administrator has decided, in its sole discretion, to consider that such breach is remediable by the User and has so informed the User; it being further stipulated that the Administrator's decision to consider that such breach is not remediable by the User shall be final for all applicable legal purposes.<\/p>\n<h6>CLAUSE (6). User Obligations<\/h6>\n<p>In addition to their other obligations established by the T&amp;C and applicable law, the User also undertakes to:<br \/>(a) during the Stay on the Site:<br \/>(I) before performing the Activity on the Site:<br \/>(1) understand the T&amp;C; and<br \/>(2) determine independently of the Administrator, on their own initiative, at their own exclusive cost and under their sole responsibility the legality of Remaining on the Site and\/or performing the Activity on the Site in accordance with the legislation applicable to the User, the Site and\/or the Activity on the Site in force at the time of Accessing the Site or performing such Activity on the Site in the place where the User accessed the Site; and<br \/>(3) verify independently of the Administrator, on their own initiative, at their own exclusive cost and under their sole responsibility the IT security of the connection they use to Remain on the Site; and<br \/>(4) provide in a timely manner, complete, correct and truthful the Personal Data and\/or other data or other information requested on the Site and\/or by email sent by the Administrator as a requirement to Remain on the Site and\/or perform the Activity on the Site; and<br \/>(II) perform the Activity on the Site following the corresponding instructions, in accordance with the functionality of such Activity on the Site and respecting the letter and the spirit of the TyC and the applicable legislation; and<br \/>(III) seek, read and understand the information available on the Site and follow the corresponding instructions on solving any problem the User may have encountered when performing the Activity on the Site; and<br \/>(IV) promptly seek the technical help available on the Site, provide in a timely manner, complete, correct and truthful the relevant information and follow the instructions they receive regarding the solution to any problem the User may have encountered when performing the Activity on the Site; and<br \/>(V) keep confidential each Security Credential they generate; and<br \/>(VI) immediately notify the Administrator about one or more defects, errors and vulnerabilities of the Site that the User may have detected unintentionally; and<br \/>(VII) refrain from:<br \/>(1) transmitting to the Site:<br \/>(A) Prohibited Software; and<br \/>(B) Unauthorized Software; and<br \/>(C) digital content (including, without limitation, texts, images, videos, sounds, graphics, etc.) inconsistent with the Activity on the Site or the objectives of the Site or that would breach the letter or spirit of the T&amp;C or applicable law (including, without limitation, intellectual property law, trademark and designation law, and patent and utility model law); and<br \/>(2) attempt to access and access Personal Data and\/or other data or other information of one\u2019s own or of others without the prior express authorization of the Administrator on the Site and\/or by email sent to the User; and<br \/>(3) attempt to interfere with and interfere with the confidentiality, integrity, or availability of the Site; and<br \/>(4) attempt to detect and deliberately detect one or more defects, errors, or vulnerabilities of the Site; and<br \/>(5) report at any time, by any means of communication and in any manner to any third party (except a Public Authority in the exercise of its functions) about one or more defects, errors, or vulnerabilities of the Site that the User had detected unintentionally; and<br \/>(b) upon Exit from the Site:<br \/>(I) keep confidential each Security Credential generated during the Stay on the Site; and<br \/>(II) Access the Site and generate a new and different Security Credential in replacement of each Security Credential that they had most recently generated and that had ceased to be confidential for whatever reason; and<br \/>(III) immediately notify the Administrator, on the Site and\/or by email sent to the Administrator, of any Security Credential that has ceased to be confidential for any reason.<\/p>\n<h6>CLAUSE (7). Requirements for Activity on the Site<\/h6>\n<p>(a) The Administrator may at any time request from the User, on the Site and\/or by email sent to the User, in a prior and express manner:<br \/>(I) the User's express, unconditional and full acceptance of one or more terms and conditions:<br \/>(1) supplementary to the T&amp;C; and\/or<br \/>(2) specific to all or part of the Activity on the Site; and\/or<br \/>(II) confirmation or information of one or more Personal Data and\/or other data or other information of the User; and\/or<br \/>(III) the payment of a specified sum of money in accordance with the payment procedure that the Administrator communicates to the User in a prior and clear manner,<br \/>as a requirement to perform, in whole or in part, temporarily or permanently, the Activity on the Site.<br \/>(b) If the Administrator makes a request in accordance with subsection (a), then the Administrator may at any time also make a request in accordance with subsection (a) of the User Registration Account Clause.<\/p>\n<h6>CLAUSE (8). User Registration Account<\/h6>\n<p>(a) The Administrator may at any time request the User, on the Site and\/or by email sent to the User, in a prior and express manner, to create one or more registration accounts, exclusively in the name of the User and with a Security Credential, as a requirement to:<br \/>(I) have available on the Site, temporarily or permanently, information provided by the Administrator and\/or one or more third parties that will not be available to any other User who has not created a registration account in accordance with this section; and\/or<br \/>(II) carry out, wholly or partially, temporarily or permanently, the Activity on the Site.<br \/>(b) Each registration account created by the User in accordance with subsection (a):<br \/>(I) shall be non-transferable in ownership and use; and<br \/>(II) shall be maintained free of charge for the User unless expressly indicated otherwise by the Administrator on the Site and\/or by email sent to the User; and<br \/>(III) at any time:<br \/>(1) may be deleted at the User\u2019s decision without stating a reason unless expressly indicated otherwise by the Administrator on the Site and\/or by email sent to the User; and<br \/>(2) may be suspended for up to 90 (ninety) days or deleted by decision of the Administrator based on:<br \/>(A) the total or partial, temporary or permanent, noncompliance by the User with the T&amp;C or with the laws applicable to the User, to the Site and\/or to Activity on the Site; or<br \/>(B) an order received from a Public Authority.<br \/>(c) If the Administrator makes a decision under paragraph (b) subparagraph (III) point (2) then the Administrator will communicate that decision and its reasoning by email sent to the User prior to, simultaneously with, or after the suspension or removal, as applicable, of the registration account except that, at the Administrator's sole discretion considering the circumstances, such communication would frustrate the effectiveness of the suspension or removal, as applicable, of that registration account.<\/p>\n<h6>CLAUSE (9). Administrator's Rights<\/h6>\n<p>In addition to its other rights established by the T&amp;C and applicable law, the Administrator also has the right to:<br \/>(a) provide a Public Authority that requests it in writing with information about the User, the Presence on the Site and\/or the Activity on the Site; and<br \/>(b) deny Access to the Site, Presence on the Site and\/or Activity on the Site to the natural person who has lost User status due to total or partial, repeated or continuous noncompliance with the T&amp;C or the laws applicable to the User, to the Site and\/or to Activity on the Site.<\/p>\n<h6>CLAUSE (10). Modifications and Other Situations<\/h6>\n<p>(a) The Administrator:<br \/>(I) may, at its sole discretion, at any time and without the need to give prior, simultaneous or subsequent notice or explanation to the User:<br \/>(1) to modify, in whole or in part, temporarily or permanently:<br \/>(A) the Site; and\/or<br \/>(B) the Terms and Conditions; and<br \/>(2) to prevent, on a general basis, in whole or in part, temporarily or permanently, Access to the Site; and<br \/>(3) to close, in whole or in part, temporarily or permanently, the Site; and<br \/>(II) without prejudice to the provisions of sub-section (I), may notify the User, on the Site and\/or by email sent to the User, at the time and for the duration determined by the Administrator in each case:<br \/>(1) a modification, in whole or in part, temporary or permanent:<br \/>(A) of the Site; and\/or<br \/>(B) of the Terms and Conditions; and<br \/>(2) a prevention, in whole or in part, temporary or permanent, to Access to the Site; and<br \/>(3) the total or partial, temporary or permanent, shutdown of the Site; and<br \/>(III) the Administrator will not be obliged by the User to:<br \/>(1) modify, in whole or in part, temporarily or permanently, the Site to keep it updated; or<br \/>(2) keep enabled for the User one or more Site functionalities that the Administrator has disabled due to modification of the Site for a period of time (specified or unspecified) following the implementation of a modification to the Site; or<br \/>(3) keep available for the User all or part of the Site that the Administrator has removed due to modification of the Site for a period of time (specified or unspecified) following the implementation of a modification.<br \/>(b) The User:<br \/>(I) will not be obliged by the Administrator to accept, in whole or in part, any modification of the Site and\/or the T&amp;Cs made by the Administrator; and<br \/>(II) must expressly state, on the Site and\/or by email sent to the Administrator, at the time and for the period determined by the Administrator in each case, that they have read, understood and unconditionally and fully accepted the modification of the T&amp;Cs as a precondition for Remaining on the Site and\/or Performing the Activity on the Site; and<br \/>(III) must refrain from Accessing the Site if they do not intend to comply with the provisions of subsection (II); and<br \/>(IV) must not Remain on the Site or perform the Activity on the Site if they have not complied with the provisions of subsection (II).<\/p>\n<h6>CLAUSE (11). Third-Party Sites<\/h6>\n<p>(a) The Site may at any time, temporarily or permanently, include and enable one or more links to one or more Third-Party Sites.<br \/>(b) No Third-Party Site will be considered owned by the Administrator or licensed to the Administrator unless expressly indicated otherwise by the Administrator on the Site and\/or by email sent to the User.<br \/>(c) The inclusion, enabling, replacement, disabling and removal of a link to a Third-Party Site:<br \/>(I) will be carried out by the Administrator for the purpose of enhancing the interaction between the User and the Site during the User\u2019s stay on the Site unless expressly indicated otherwise by the Administrator on the Site and\/or by email sent to the User; and<br \/>(II) will be governed by the provisions of the Modifications and Other Situations Clause.<br \/>(d) The User will not be obliged by the Administrator to:<br \/>(I) Access any Third-Party Site; or<br \/>(II) use one or more links to a Third-Party Site included and enabled on the Site to Access such Third-Party Site,<br \/>unless expressly indicated otherwise by the Administrator on the Site and\/or by email sent to the User.<br \/>(e) As a consequence of the provisions in subsection (d):<br \/>(I) the Administrator will not be liable because:<br \/>(1) a Third-Party Site:<br \/>(A) complies, in whole or in part, temporarily or permanently, with the applicable laws of the User and\/or such Third-Party Site in force at the time of Accessing that Third-Party Site at the location where the User Accesses that Third-Party Site; or<br \/>(B) is operational, in whole or in part, temporarily or permanently, at the time the User attempts to Access that Third-Party Site; or<br \/>(C) establishes, to Access that Third-Party Site, requirements for the User that are not more demanding (quantitatively and\/or qualitatively) than the requirements established in the T&amp;C for Access to the Site at the time the User attempts to Access that Third-Party Site; or<br \/>(D) operates, in whole or in part, temporarily or permanently, in accordance with the terms and conditions of that Third-Party Site or, failing that, as stipulated by the owner and\/or administrator of that Third-Party Site; or<br \/>(E) offers digital content (including, without limitation, texts, images, videos, sounds, graphics, etc.) that is complete, accurate, up-to-date and consistent with the functionality or objectives of that Third-Party Site or that respects the letter and spirit of that Third-Party Site\u2019s terms and conditions and the applicable law; or<br \/>(F) enables an interaction between the User and that Third-Party Site that is no less satisfactory (quantitatively and\/or qualitatively) than the interaction between the User and the Site during the User\u2019s Stay on the Site; or<br \/>(2) the User:<br \/>(A) meet all the requirements that a Third-Party Site may establish to Access it; or<br \/>(B) not suffer, directly or indirectly, actually or potentially, temporarily or permanently, immediately or deferred, any damage and\/or loss (financial and\/or moral) as a result of Accessing a Third-Party Site; and<br \/>(II) the User will be responsible for determining independently of the Administrator, on their own initiative, at their own expense and under their sole responsibility:<br \/>(1) the legality of Accessing a Third-Party Site in accordance with the legislation applicable to the User and\/or to said Third-Party Site in force at the time of Accessing that Third-Party Site in the place where the User intends to Access that Third-Party Site; and<br \/>(2) the necessity or advisability for the User and the risks for them and\/or third parties of Accessing a Third-Party Site according to the User\u2019s circumstances at the time of Accessing that Third-Party Site in the place where the User intends to Access that Third-Party Site; and<br \/>(3) the acceptance or rejection of the terms and conditions of a Third-Party Site.<\/p>\n<h6>CLAUSE (12). Intellectual Property<\/h6>\n<p>(a) The Site:<br \/>(I) is entirely owned by the Administrator or is licensed to the Administrator unless expressly indicated otherwise by the Administrator on the Site and\/or by email sent to the User; and<br \/>(II) is protected by intellectual property law, trademark and designation law, and by patent law for inventions and utility models to the fullest extent applicable.<br \/>(b) The User:<br \/>(I) shall refrain from:<br \/>(1) storing on any device, in any manner and for any reason whatsoever, whether for profit or not, all or part of the Site without the prior and express authorization of the Administrator on the Site and\/or by email sent to the User; and<br \/>(2) modifying, copying, duplicating, reproducing, transmitting, circulating or distributing to any third party, in any manner and for any reason whatsoever, whether for profit or not, all or part of the Site without the prior and express authorization of the Administrator on the Site and\/or by email sent to the User; and<br \/>(3) claiming ownership of or appropriating, in any manner and for any reason whatsoever, whether for profit or not, all or part of the Site; and<br \/>(4) attributing ownership, in any manner and for any reason whatsoever, whether for profit or not, of all or part of the Site to any person other than the Administrator; and<br \/>(5) claiming a license or permission to use and acting as licensee or permit holder, in whole or in part, in any manner and for any reason whatsoever, whether for profit or not, of all or part of the Site; and<br \/>(II) shall grant the Administrator automatically at the moment of transmitting it to the Site an irrevocable, perpetual, non-exclusive, transferable license or permission to use, without any right to compensation, in relation to any content owned by the User that the User should not refrain from transmitting to the Site under the User Obligations Clause and that the User transmits to the Site during the Stay on the Site; it is stipulated that the Administrator shall have no obligation to give prior notice to the User regarding the timing and purpose of the Administrator\u2019s use of such content; it is further stipulated, however, that the Administrator shall not use such content for an unlawful purpose.<\/p>\n<h6>CLAUSE (13). Disclaimer of Liability<\/h6>\n<p>(a) The User acknowledges and agrees that Accessing the Site, Remaining on the Site, and Activity on the Site:<br \/>(I) is not a duty or obligation of the User created or imposed, respectively, by the Administrator; and<br \/>(II) is carried out:<br \/>(1) on their own initiative; and<br \/>(2) at their sole expense; and<br \/>(3) with an understanding of the Terms and Conditions; and<br \/>(4) under their exclusive responsibility.<br \/>(b) As a consequence of the provisions in paragraph (a), the Administrator shall not be liable for any damage and\/or loss, financial and\/or moral, caused, directly or indirectly, actually or potentially, to the User as a result of:<br \/>(I) the temporary or permanent impossibility of Accessing the Site, Remaining on the Site, performing Activity on the Site, or Leaving the Site, in whole or in part, due to a technical or legal cause not attributable to the Administrator; or<br \/>(II) Accessing the Site, Remaining on the Site, Activity on the Site, or Leaving the Site, whether in compliance with or in breach of the Terms and Conditions; or<br \/>(III) in relation to a Third-Party Site:<br \/>(1) for Accessing such Third-Party Site in accordance with paragraph (d) of the Third-Party Sites Clause unless Access to that Third-Party Site occurred at the express direction of the Administrator on the Site and\/or by email sent to the User; provided, however, that the Administrator will not be liable if such direction resulted from compliance with a provision of applicable law or an order received from a Public Authority; or<br \/>(2) for the content of that Third-Party Site; or<br \/>(3) for the activity carried out on that Third-Party Site; or<br \/>(4) for the storage on the device used by the User to Access that Third-Party Site and the User\u2019s use of one or more Cookies from that Third-Party Site; and<br \/>(5) for the transmission to the device used by the User to Access that Third-Party Site and for the storage and execution on that device, temporary or permanent, immediately or deferred, of malicious software as a consequence of Accessing that Third-Party Site; or<br \/>(IV) for the total or partial, temporary or permanent, loss of confidentiality of a Security Credential for a cause not attributable to the Administrator; or<br \/>(V) for the transmission to the device used by the User to Access the Site and for the storage and execution on that device, temporary or permanent, immediately or deferred, for a cause not attributable to the Administrator, of malicious software as a consequence of Accessing the Site, Remaining on the Site, Activity on the Site or Leaving the Site; or<br \/>(VI) for the User\u2019s breach, temporary or permanent and for any cause whatsoever, of the ToS or of any duty or obligation created or imposed by the Administrator on the User in connection with a User breach of the ToS.<br \/>(c) Nothing on the Site shall be construed by the User as professional advice of any kind (including, without limitation, legal, accounting, tax or financial advice) and, accordingly, the User must independently obtain, separate from the Administrator, on their own initiative, at their own expense and under their sole responsibility the professional advice of the type the User deems necessary or appropriate according to their circumstances except where the Administrator expressly indicates otherwise on the Site and\/or by email sent to the User.<\/p>\n<h6>CLAUSE (14). Privacy and Personal Data Protection<\/h6>\n<p>(a) The Site has been developed with respect for the User's privacy on the Internet and in consideration of the Administrator's duty to protect, in accordance with Law 25326, any Personal Data that the User transmits to the Site in connection with Access to the Site, Stay on the Site, Activity on the Site and Exit from the Site.<br \/>(b) Each Access to the Site automatically constitutes the User's unconditional consent for the Administrator to collect, on the Site and\/or by email received from the User, one or more Personal Data for the following purposes except where the Administrator expressly indicates otherwise on the Site and\/or by email sent to the User:<br \/>(I) to improve the interaction between the User and the Site during the User's Stay on the Site; and<br \/>(II) to produce anonymous statistics (that is, not capable of enabling the identification of the User) about the Site; and<br \/>(III) to comply with an order from a Public Authority received by the Administrator; and<br \/>(IV) to evaluate and approve the user's profile for the measures provided by the Administrator based on the information reported by the former.<br \/>(c) The Administrator must obtain from the User, on the Site and\/or by email received from the User, the User\u2019s unconditional consent to store one or more Site Cookies on the device used by the User to Access the Site and to use such Site Cookies before saving them on that device.<br \/>(d) The User:<br \/>(I) may at any time during the Stay on the Site communicate to the Administrator on the Site their unconditional refusal to:<br \/>(1) provide one or more Personal Data to the Administrator in accordance with section (b); and\/or<br \/>(2) permit the storage and use of one or more Site Cookies in accordance with section (c); and<br \/>(II) acknowledges and agrees that the interaction between the User and the Site during the Stay on the Site may be less satisfactory (quantitatively and\/or qualitatively) than it would be if, on the contrary:<br \/>(1) they communicate a refusal in accordance with sub-section (I); or<br \/>(2) they provide incomplete, inaccurate or false Personal Data for the purposes of section (b).<br \/>(e) The Administrator will store the Personal Data in a database whose administration will be the exclusive responsibility of the Administrator at the address indicated in the Special Domicile Clause.<br \/>(f) The Personal Data that the Administrator collects in accordance with section (b) may be stored, processed and transferred exclusively by:<br \/>(I) the Administrator; and<br \/>(II) each natural or legal person with whom the Administrator enters into a transfer or assignment agreement for one or more Personal Data; and<br \/>(III) each Public Authority that requires the Administrator to transfer or assign one or more Personal Data by court order and when there are well-founded reasons related to public security, national defense, or public health.<br \/>(g) In accordance with Law 25326 the User may request from the Administrator with respect to one or more Personal Data:<br \/>(I) free access to such Personal Data every 6 or more continuous anniversary months from the date of the last access requested by the User unless the User demonstrates a legitimate interest in accessing such Personal Data before the lapse of 6 continuous anniversary months from the date of the last access requested by the User; and\/or<br \/>(II) the update of such Personal Data if they have become outdated due to changes in the User's circumstances; and\/or<br \/>(III) the rectification of such Personal Data if they are inaccurate or incomplete; and\/or<br \/>(IV) the blocking of such Personal Data; or<br \/>(V) the deletion of such Personal Data.<br \/>(h) Each User request pursuant to subsection (g) must be made by:<br \/>(I) a certified letter if the User requests access to one or more Personal Data; or<br \/>(II) a simple letter, accompanied by a simple photocopy of their valid National Identity Document or Passport, if the User requests the updating, rectification, blocking or deletion of one or more Personal Data.<br \/>(i) The User must deliver or cause to be delivered the corresponding communication according to subsection (h) only to the Administrator's address indicated in the Special Address Clause.<br \/>(j) The Administrator's email address indicated in the Definitions Clause is not an electronic domicile and, consequently, any email containing or attaching a notification, communication or summons sent to that email address should not be considered sent to the Administrator nor received by the Administrator for any purpose of the notification, communication or summons in question.<br \/>(k) The Administrator:<br \/>(I) will not be obligated to respond favorably to:<br \/>(1) a request for access, rectification and\/or deletion of one or more Personal Data received from the User in accordance with subsection (g) if complying with the request would affect the protection of the defense of the Nation, public order and safety, or the rights and interests of third parties; or<br \/>(2) a request for access to one or more Personal Data received from the User in accordance with subsection (g) subparagraph (I) if such request is not dated at least 6 (six) months after the date of the last request for access to Personal Data that the Administrator received from the User in accordance with subsection (g) subparagraph (I), unless the User reasonably demonstrates to the Administrator (at the Administrator's sole discretion) that they have a legitimate interest in accessing the Personal Data in question before 6 (six) months have elapsed since the date of that last access request; or<br \/>(3) a request for deletion of one or more Personal Data received from the User pursuant to section (g) subparagraph (V) if the requested deletion could cause harm to the rights or legitimate interests of third parties or prevent the Administrator from complying with a legal obligation to retain the Personal Data in question; and<br \/>(II) will inform the grounds for each refusal pursuant to subparagraph (I) by means of a written communication addressed to the address that the User provided in the rejected request in question.<br \/>(l) The AAIP, in its capacity as the Supervisory Authority of Law 25326, has the power to handle complaints and claims filed by those whose rights are affected by noncompliance with the current rules on Personal Data protection.<\/p>\n<h6>CLAUSE (15). Communications<\/h6>\n<p>(a) The User may communicate with the Administrator:<br \/>(I) on the Site; or<br \/>(II) only during the time that technical reasons prevent them from transmitting the communication to the Administrator on the Site and without prejudice to the provisions of section (j) of the Privacy and Personal Data Protection Clause, by email sent to the Administrator's email address indicated in the Definitions Clause; or<br \/>(III) only for the purpose established in section (g) of the Privacy and Personal Data Protection Clause, in the manner indicated in section (h) of the Privacy and Personal Data Protection Clause.<br \/>(b) The Administrator may communicate with the User:<br \/>(I) on the Site; and\/or<br \/>(II) by email sent to the email address that the User provided to the Administrator on the Site; and<br \/>(IV) only in response to a request from the User made in accordance with subsection (g) of the Privacy and Personal Data Protection Clause, by written communication sent to the address that the User indicated in the relevant request.<br \/>(c) Communications between the User and the Administrator will not be confidential with respect to the Administrator and the User and will be confidential with respect to any other natural or legal person except a Public Authority acting in the exercise of its functions.<\/p>\n<h6>CLAUSE (16). Assignment<\/h6>\n<p>The User will not be required to assign nor will they assign to any third party:<br \/>(a) their contractual position in the T&amp;Cs; or<br \/>(b) any of the obligations attributed to them by the T&amp;Cs or any rights they may have against the Administrator by reason of the T&amp;Cs or the law applicable to the Site.<\/p>\n<h6>CLAUSE (17). Validity<\/h6>\n<p>The invalidity of one or more Clauses (but not of the T&amp;Cs as a whole) that arises after their publication on the Site for a cause not attributable to the Administrator or the User or to both will not affect the validity of the remaining Clauses.<\/p>\n<h6>CLAUSE (18). Special Domicile<\/h6>\n<p>The Administrator establishes its domicile at the following address: Avenida Rivadavia 21204 first floor, Mor\u00f3n, Partido de Mor\u00f3n, Province of Buenos Aires.<\/p>\n<h6>CLAUSE (19). Applicable Law<\/h6>\n<p>The T&amp;Cs are governed exclusively by the law of the Argentine Republic.<\/p>\n<h6>CLAUSE (20). Competent Judicial Courts<\/h6>\n<p>Any matter (litigious or not) related to the T&amp;Cs shall be resolved exclusively by the courts competent by reason of subject matter seated in the city of Mor\u00f3n, Partido de Mor\u00f3n, Province of Buenos Aires.<\/p>\n<h5>Regarding the Offer and Commercialization of Courses<\/h5>\n<h6 data-start=\"404\" data-end=\"459\">CLAUSE (21): Course Marketplace \u2013 Role of Dinexos<\/h6>\n<ol data-start=\"461\" data-end=\"1760\">\n<li data-start=\"461\" data-end=\"876\">\n<p data-start=\"464\" data-end=\"876\"><strong data-start=\"464\" data-end=\"499\">Marketplace Administration.<\/strong><br data-start=\"499\" data-end=\"502\" \/>Dinexos SRL (hereinafter, \u201cDinexos\u201d or the \u201cAdministrator\u201d) acts exclusively as <strong data-start=\"586\" data-end=\"629\">administrator of the course marketplace<\/strong> offered through the Site, providing the technological platform and the means for the display, publication, marketing and\/or distribution of courses by users who register as instructors (hereinafter, \u201cInstructors\u201d).<\/p>\n<\/li>\n<li data-start=\"878\" data-end=\"1166\">\n<p data-start=\"881\" data-end=\"1166\"><strong data-start=\"881\" data-end=\"896\">Instructor.<\/strong><br data-start=\"896\" data-end=\"899\" \/>Both a natural person and a legal entity may register as an Instructor. Registering and creating an Instructor profile constitute, by themselves, full acceptance of these T&amp;C and a declaration of their intent to participate in the marketplace.<\/p>\n<\/li>\n<li data-start=\"1168\" data-end=\"1385\">\n<p data-start=\"1171\" data-end=\"1385\"><strong data-start=\"1171\" data-end=\"1204\">Course and Materials Upload.<\/strong><br data-start=\"1204\" data-end=\"1207\" \/>The materials corresponding to each course may be uploaded and managed on the Site by the Instructor themselves or, where applicable, by Dinexos pursuant to an express agreement between the parties.<\/p>\n<\/li>\n<li data-start=\"1387\" data-end=\"1760\">\n<p data-start=\"1390\" data-end=\"1760\"><strong data-start=\"1390\" data-end=\"1420\">Instructor Validation.<\/strong><br data-start=\"1420\" data-end=\"1423\" \/>Dinexos may, at any time, require the Instructor to provide additional information to validate their identity and\/or legal standing, including, without limitation, ID, CUIT, corporate documentation, powers of attorney and\/or any other data that Dinexos deems relevant. Failure to comply may result in suspension or removal of the profile.<\/p>\n<\/li>\n<\/ol>\n<h6 data-start=\"1762\" data-end=\"1809\">CLAUSE (22): Course Offering and Delivery<\/h6>\n<ol data-start=\"1811\" data-end=\"2318\">\n<li data-start=\"1811\" data-end=\"2011\">\n<p data-start=\"1814\" data-end=\"2011\"><strong data-start=\"1814\" data-end=\"1835\">Course Offering.<\/strong><br data-start=\"1835\" data-end=\"1838\" \/>The Instructor is solely and exclusively responsible for the publication, description, characteristics, quality, legality and delivery of the courses they offer through the Site.<\/p>\n<\/li>\n<li data-start=\"2013\" data-end=\"2318\">\n<p data-start=\"2016\" data-end=\"2318\"><strong data-start=\"2016\" data-end=\"2044\">Mode of Delivery.<\/strong><br data-start=\"2044\" data-end=\"2047\" \/>Access to the courses may be carried out online through the Site or, if agreed between the User and the Instructor, in face-to-face mode, outside the scope of the Site. In the latter case, Dinexos will not be a party to or responsible for the agreed conditions.<\/p>\n<\/li>\n<\/ol>\n<h6 data-start=\"2320\" data-end=\"2378\">CLAUSE (23): Intellectual Property and Copyright<\/h6>\n<ol data-start=\"2380\" data-end=\"3249\">\n<li data-start=\"2380\" data-end=\"2968\">\n<p data-start=\"2383\" data-end=\"2535\"><strong data-start=\"2383\" data-end=\"2410\">Statement and Warranty.<\/strong><br data-start=\"2410\" data-end=\"2413\" \/>The Instructor declares and warrants that the content of the courses and materials they publish and distribute through the Site:<\/p>\n<ul data-start=\"2539\" data-end=\"2968\">\n<li data-start=\"2539\" data-end=\"2674\">\n<p data-start=\"2541\" data-end=\"2674\">Is their exclusive authorship or has the necessary legal authorizations\/licenses for its use, reproduction and commercialization.<\/p>\n<\/li>\n<li data-start=\"2678\" data-end=\"2807\">\n<p data-start=\"2680\" data-end=\"2807\">Does not infringe intellectual property rights, industrial rights, image rights, privacy or any other third-party rights.<\/p>\n<\/li>\n<li data-start=\"2811\" data-end=\"2968\">\n<p data-start=\"2813\" data-end=\"2968\">Assumes full responsibility and holds Dinexos harmless from any third-party claim related to copyright or other related rights.<\/p>\n<\/li>\n<\/ul>\n<\/li>\n<li data-start=\"2970\" data-end=\"3249\">\n<p data-start=\"2973\" data-end=\"3249\"><strong data-start=\"2973\" data-end=\"3005\">License in favor of Dinexos.<\/strong><br data-start=\"3005\" data-end=\"3008\" \/>The Instructor grants Dinexos, for the duration of the publication and free of charge, a non-exclusive, worldwide, irrevocable and transferable license to reproduce, display, distribute and publicly communicate the course content, both on the Site and on any other channel, medium or platform that Dinexos considers appropriate, including but not limited to social networks, marketplaces (e.g., MercadoLibre), advertising platforms, press, newsletters, e-mail marketing campaigns and other third-party websites, for the sole purposes of promoting, marketing and disseminating the course.<\/p>\n<\/li>\n<\/ol>\n<h6 data-start=\"3251\" data-end=\"3284\">CLAUSE (24): Confidentiality<\/h6>\n<p data-start=\"3286\" data-end=\"3559\">All information and documentation exchanged between the Instructor and Dinexos in relation to the publication, marketing, uploading or management of courses shall be treated as confidential and may not be disclosed to third parties, except by legal requirement or express authorization.<\/p>\n<h6 data-start=\"3561\" data-end=\"3604\">CLAUSE (25): Commissions and Settlements<\/h6>\n<ol data-start=\"3606\" data-end=\"4385\">\n<li data-start=\"3606\" data-end=\"3837\">\n<p data-start=\"3609\" data-end=\"3837\"><strong data-start=\"3609\" data-end=\"3622\">Commission.<\/strong><br data-start=\"3622\" data-end=\"3625\" \/>Dinexos shall receive, as commission, a percentage of the sale price of each course, which will be communicated to the Instructor in advance and may be modified by Dinexos by notification on the Site.<\/p>\n<\/li>\n<li data-start=\"3839\" data-end=\"4134\">\n<p data-start=\"3842\" data-end=\"4134\"><strong data-start=\"3842\" data-end=\"3879\">Settlement and Payment to the Instructor.<\/strong><br data-start=\"3879\" data-end=\"3882\" \/>The payment due to the Instructor will be settled within fifteen (15) calendar days following the actual receipt and crediting of the User's payment into Dinexos' accounts, after deducting the commission and\/or any other applicable items.<\/p>\n<\/li>\n<li data-start=\"4136\" data-end=\"4385\">\n<p data-start=\"4139\" data-end=\"4385\"><strong data-start=\"4139\" data-end=\"4173\">Responsibility for Taxes.<\/strong><br data-start=\"4173\" data-end=\"4176\" \/>The Instructor shall be solely responsible for complying with their tax, social security, labor and any other obligations arising from the activity conducted through the Site.<\/p>\n<\/li>\n<\/ol>\n<h6>CLAUSE (26). Right of Withdrawal<\/h6>\n<p>The Student User may revoke acceptance of the course within TEN (10) consecutive days from the date of purchase, in accordance with art. 34 Law 24.240 and Resol. SCI 424\/2020. For this purpose, the Site will include a \u201cREPENTANCE BUTTON\u201d visible from the Dashboard and without additional registration requirements. The Instructor will refund the User the amount paid within TEN (10) days of receipt of the revocation. Dinexos may retain its commission and bank fees.<\/p>\n<h6>CLAUSE (27). Invoicing and Taxes<\/h6>\n<p>The Instructor will be responsible for issuing the corresponding tax receipt (Invoice \u201cB\u201d or \u201cC\u201d or equivalent). Dinexos may apply tax withholdings or perceptions according to applicable regulations (e.g., RG AFIP 4290\/18). Failure to submit supporting documents entitles Dinexos to suspend payments.<\/p>\n<h6>CLAUSE (28). Retention of Funds and Charge-backs<\/h6>\n<p>Dinexos may retain funds for up to ONE HUNDRED TWENTY (120) consecutive days when there are claims, charge-backs, or fraud investigations, and may deduct any costs incurred.<\/p>\n<h6>CLAUSE (29). Scope of the Promotional License<\/h6>\n<p>The license granted in Clause (23) will remain in effect while the course is published and for NINETY (90) consecutive days after its removal, solely for the purpose of completing ongoing campaigns.<\/p>\n<h6>CLAUSE (30). Confidentiality Exclusion<\/h6>\n<p>All information and material that the Instructor provides to the Site for the purpose of advertising or marketing their course is excluded from the confidentiality obligation established in Clause (24). Likewise, Dinexos may disclose anonymous (non-identifiable) statistical data or metrics about the course's performance.<\/p>\n<h6>CLAUSE (31). Processing of Student Data<\/h6>\n<p>Dinexos will act as the *Data Processor* of the personal data of Student Users collected for the provision of the service, in accordance with art. 25 of Law 25.326, committing to: (i) use them only according to the Instructor's instructions; (ii) implement appropriate technical and organizational measures; (iii) not transfer them without authorization; and (iv) delete them after course withdrawal except when legally required to retain them.<\/p>\n<h6>CLAUSE (32). Complaints between Users<\/h6>\n<p>Any dispute between an Instructor and a Student User must first be processed through Dinexos Customer Service.
